In the first thirteen weeks of 2023, there was $179 thousand cash paid for income taxes compared to $233 thousand in 2022 for the same period. Cash paid for interest related to long-term debt was $8 thousand and $8 thousand in the first thirteen weeks of 2023 and 2022, respectively.

In the first thirteen weeks of 2022, there was $233 thousandcash paid for income taxes compared to $1.1 million in 2021 for the same period. (1) Significant Accounting Policies

Basis of Presentation: The accompanying unaudited Consolidated Financial Statements have been prepared in accordance with accounting principles generally accepted in the United States for interim financial information and with the instructions for Form 10-Q and Article 10 of Regulation S-X. In the opinion of management, all adjustments (consisting of normal recurring deferrals and accruals) considered necessary for a fair presentation have been included. The operating results for the periods presented are not necessarily indicative of the results to be expected for the full year. The Company has evaluated subsequent events for disclosure through the date of issuance of the accompanying unaudited consolidated interim financial statements and there were no material subsequent events which require additional disclosure. For further information, refer to the Consolidated Financial Statements and footnotes thereto included in the Company’s latest Annual Report on Form 10-K.

(2) Current Relevant Accounting Standards

The Company regularly monitors recently issued accounting standards and assesses their applicability and impact. The Company believes that there are no accounting standard updates that have or will have a material or significant impact on the Company’s accounting policies.

(3) Marketable Securities

The Company’s marketable securities are all classified as available-for-sale within “Current Assets” in the Company’s Consolidated Balance Sheets. FASB has established three levels of inputs that may be used to measure fair value:

Level 1Observable inputs such as quoted prices in active markets for identical assets or liabilities;

Level 2Observable inputs, other than Level 1 inputs in active markets, that are observable either directly or indirectly; and

Level 3Unobservable inputs for which there is little or no market data, which require the reporting entity to develop its own assumptions.

The Company’s marketable securities valued using Level 1 inputs include highly liquid equity securities, for which quoted market prices are available. The Company’s municipal bond and commercial paper portfolio is valued using Level 2 inputs. The Company’s municipal bonds and commercial paper are valued using a combination of pricing for similar securities, recently executed transactions, cash flow models with yield curves and other pricing models utilizing observable inputs, which are considered Level 2 inputs.

For Level 2 investment valuation, the Company utilizes standard pricing procedures of its investment advisory firm which includes various third-party pricing services. These procedures also require specific price monitoring practices as well as pricing review reports, valuation oversight and pricing challenge procedures to maintain the most accurate representation of investment fair market value.

The Company accrues interest on its bond and commercial paper portfolio throughout the life of each bond and commercial paper held. Dividends from the equity securities are recognized as received. Interest, dividends and unrealized gains and losses on equity securities are recognized in “Investment income (loss) and interest expense” on the Company’s Consolidated Statements of Income. The Company recognized investment incomegain of $632 thousand$2.5 million in the thirteen weeks ended April 1, 2023, which included an unrealized gain in equity securities of $325 thousand. In the thirteen weeks ended March 26, 2022, the Company recognized investment income of $632 thousand, which included an unrealized loss in equity securities of $214 thousand. In the thirteen weeks ended March 27, 2021, the Company recognized investment income of $844 thousand, which included an unrealized gain in equity securities of $237 thousand.

SERP Investments

The Company also maintains a non-qualified supplemental executive retirement plan for certain of its associates which allows them to defer income to future periods. Participants in the plans earn a return on their deferrals based on mutual fund investments. The Company chooses to invest in the underlying mutual fund investments to offset the liability associated with the non-qualified deferred compensation plans. Such investments are reported on the Company’s Consolidated Balance Sheets as “SERP investment,” are classified as trading securities and are measured at fair value using Level 1 inputs with gains and losses included in “Investment income (loss) and interest expense” on the Company’s Consolidated Statements of Income. The Company recognized investment lossincome of $1.5$1.3 million in the thirteen weeks ended March 26, 2022,April 1, 2023, and investment incomeloss of $775$1.5 thousandmillion in the same period in 2021.2022. The changes in the underlying liability to the associates are recorded in “Other income (expense).”

(5) Long-Term Debt

On September 1, 2016, Weis Markets entered into a revolving credit agreement with Wells Fargo Bank, National AssociationN.A. (the “Credit Agreement”), which was amended on September 29, 2021, and matures on September 1, 2024. The Credit Agreement provides for an unsecured revolving credit facility with an aggregate principal amount not to exceed $30.0 million with an additional discretionary amount available of $70.0 million. As of March 26, 2022,April 1, 2023, the availability under the revolving credit agreement was $25.3$25.5 million, net of $4.7$4.5 million letters of credit. The letters of credit are maintained primarily to support performance, payment, deposit or surety obligations of the Company.

As of March 26, 2022,April 1, 2023, the Company leased approximately 50%49% of its open store facilities under operating leases that expire at various dates through 2036, with the remaining store facilities being owned. These leases generally provide for fixed annual rentals; however, several provide for minimum annual rentals plus variable lease costs related to real estate taxes and insurance as well as contingent rentals based on a percentage of annual sales or increases periodically based on inflation. These variable lease costs are not included in the measurement of the operating lease right-to-use assets or lease liabilities and are charged to the related expense category included in “Operating, general and administrative expenses.” Most of the leases contain multiple renewal options, under which the Company may extend the lease terms from 5 to 20 years. Additionally, the Company has operating leases for certain transportation and other equipment.

The Company leases or subleases space to tenants in owned, vacated and open store facilities. Rental income is recorded when earned as a component of “Operating, general and administrative expenses.”

Company Summary

Weis Markets is a conventional supermarket chain that operates 197 retail stores with approximately 24over 23 thousand associates located in Pennsylvania and six surrounding states: Delaware, Maryland, New Jersey, New York, Virginia and West Virginia. Approximately 97% of Weis Markets associates are paid an hourly wage. Its products sold include groceries, dairy products, frozen foods, meats, seafood, fresh produce, floral, pharmacy services at certain locations, deli products, prepared foods, bakery products, beer and wine, fuel, and general merchandise items, such as health and beauty care and household products. The store product selection includes national, local and private brands.

The Company advertises its products and promotes its brand through weekly and monthly printed circulars; radio ads; e-mail blasts; and on-line via its web site, social media and mobile applications. The Company promotes competitive pricing by using Everyday Lower Price; Low Price Guarantee; Low, Low Price; 3 Day Sale; senior and military discounts; and Loyalty programs. The Loyalty program includes reward points that may be redeemed for discounts on items in store, at one of the Company’s fuel stations or one of its third-party fuel station partners.

Utilizing its own strategically located distribution center and transportation fleet, Weis Markets self distributes approximately 64%61% of product with the remaining being supplied by direct store delivery vendors. In addition, the Company has three manufacturing facilities which process milk, ice cream and fresh meat products. The corporate offices are located in Sunbury, PA where the Company was founded in 1912.

On March 11, 2020, the World Health Organization declared that the novel coronavirus (COVID-19) had become aThe COVID-19 pandemic and on March 13, the U.S. President declared a National Emergency concerning the disease. This resulted in government mandated shutdowns in early 2020, as well as multiple legislative acts to provide emergency economic assistance for individuals, families and businesses affected by the novel coronavirus pandemic. These events were accretive to ourthe Company’s sales and gross profits compared to the time periods preceding the impact of the novel coronavirus pandemic. The Company is not able to speculate how the ensuing economy or unknown future related expenses will affect it after the governmental novel coronavirus pandemic measures have ended.

The Company continues to innovate and remain relevant to industry trends and offeringoffer customer convenience by presenting programs like “Weis 2 Go Online” ordering with curbside pickup and home delivery. As of March 26, 2022,April 1, 2023, the Company offered Weis 2 Go Online curbside pickup in 188 of its locations as well as home delivery with Shipt in 177 locations. Sales in the first thirteen weeks of 2022 through Weis 2 Go Online have decreased 22 percent when comparedallows the customer to order on-line and then pick up their order at a drive-thru location at the same period last year. When comparedstore. The Company also currently offers home delivery to the first thirteen weekscustomers in all 197 of 2020 through Weis 2 Go Online sales have increased 148 percent. Management is providing Comparable Store Sales Two-Year Stacked analysis, a non-GAAP measure, because management believes this metric is useful to investors and analysts. A Comparable Store Sales Two-Year Stacked analysis presents a comparison of results and trends over a longer period of time to demonstrate the effect of the novel coronavirus pandemic on the operating results of the Company. According to the latest U.S. Bureau of Labor Statistics’ report, the annual Seasonally Adjusted Food-at-Home Consumer Price Index increased 0.4% and 3.9% compared to an increase of 0.2% for the same period last year.thirteen week periods ended April 1, 2023 and March 26, 2022, respectively. Even though the U.S. Bureau of Labor Statistics’ index rates may be reflective of a trend, it will not necessarily be indicative of the Company’s actual results. Total net sales increased 9.7%3.7% to $1.1$1.14 billion for the thirteen weeks ended April 1, 2023, from $1.10 billion for the thirteen weeks ended March 26, 2022, from $1.0 billion for the thirteen weeks ended March 27, 2021.2022. The increase in total net sales includes retail price inflation in center store,grocery and fresh pharmacy services, and fuel product categories. Comparable store sales for the thirteen weeks ended March 26, 2022,April 1, 2023, compared to the same period in 20212022 increased 9.4%3.1% including fuel and 7.6%3.6% excluding fuel.

Although the Company experienced retail inflation and deflation in various commodities for the periods presented, the Company anticipates overall product costs to increase given the recent inflationary indicators in the food retail industry. Management cannot accurately measure the full impact of inflation or deflation on retail pricing due to changes in the types of merchandise sold between periods, shifts in customer buying patterns and the fluctuation of competitive factors. Management remains confident in its ability to generate long-term sales growth in a highly competitive environment, but also understands some competitors have greater financial resources and could use these resources to take measures which could adversely affect the Company’s competitive position.

Cost of Sales and Gross Profit

Cost of sales consists of direct product costs (net of discounts and allowances), net advertising costs, distribution center and transportation costs, as well as manufacturing facility operations.

Gross profit on sales increased 9.8%decreased 2.7% for the thirteen weeks ended March 26, 2022,April 1, 2023, compared to the same period in 2021.2022. Gross profit margin remained 26.6% indecreased 1.6% for the thirteen weeks ended March 26, 2022, whenApril 1, 2023, compared to the thirteen weeks ended March 27, 2021.same period in 2022. The Company was able to maintainexperienced degradation in its gross profit margin quarter over quarter due to strong holiday selling, targeted programsas product costs increased in the fresh meats and weather related events.pharmacy departments and lower margin departments, such as pharmacy, increased in the product mix.

Non-cash LIFO inventory valuation adjustments represent expense of $1.7$1.6 million in the first thirteen weeks of 20222023 compared to expense of $329 thousand$1.7 million in the same period in 2021.2022. Although the Company experienced cost inflation and deflation in various commodities for the periods presented, the Company anticipates overall product costs to increase given the recent inflationary indicators in the food retail industry.

Operating, General and Administrative Expenses

The majority of the operating, general and administrative expenses are driven by sales volume.

Employee-related costsEmployee expenses such as wages, employer paid taxes, health care benefits and retirement plans, comprise approximately 60.5%59.9% of the total “Operating, general and administrative expenses.” As a percent of sales, direct store labor decreased 0.3%0.2% in the thirteen weeks ended March 26, 2022April 1, 2023 when compared to the same period in 2021.2022.

Depreciation and amortization expense charged to “Operating, general and administrative expenses” was $24.1 million, or 2.1% of net sales during the thirteen weeks ended April 1, 2023 compared to $23.3 million, or 2.1% of net sales during the thirteen weeks ended March 26, 2022 compared to $23.4 million, or 2.3% of net sales during the thirteen weeks ended March 27, 2021.2022. Overall, the operating, general and administrative expenses as a percent of sales presented for the first thirteen weeks of 2022 haveended April 1, 2023 has benefited in comparison with the 20212022 percent of sales due to the increase in sales. Although direct store labor and fixed expenses have increased from a cost perspective, the increase in sales has caused a decrease in the percent of sales rate.

Provision for Income Taxes

The Company’s effective income tax rate was 25.3%26.6% and 25.8%25.3% for the thirteen weeks ended April 1, 2023 and March 26, 2022, and March 27, 2021, respectively. The effective income tax rate differed from the federal statutory rate, primarily due to the effect of state taxes, net of permanent differences.

Liquidity and Capital Resources

The primary source of cash is cash flows generated from operations. In addition, the Company has access to a revolving credit agreement entered into on September 1, 2016, and amended on September 29, 2021, with Wells Fargo Bank, NAN.A. (the “Credit Agreement”). The Credit Agreement matures on September 1, 2024, and provides for an unsecured revolving credit facility with an aggregate principal amount not to exceed $30.0 million with an additional discretionary amount available of $70.0 million. As of March 26, 2022,April 1, 2023, the availability under the revolving credit agreement was $25.3$25.5 million, with $4.7net of $4.5 million of letters of credit outstanding.credit. The letters of credit are maintained primarily to support performance, payment, deposit or surety obligations of the Company.

The Company’s investment portfolio consists of high-grade bonds and commercial paper with maturity dates between one and 1020 years and three long-heldfour high yield, large capitalized public company equity securities. The portfolio totaled $198.8$214.2 million as of March 26, 2022.April 1, 2023. Management anticipates maintaining the investment portfolio but has the ability to liquidate if needed.

The Company’s capital expansionexpenditure program includes the construction of new superstores, the expansion and remodeling of existing units, the acquisition of sites for future expansion, new technology purchases and the continued upgrade of the Company’s distribution facilities and transportation fleet. Management currently plans to invest approximately $150$160 million in its capital expansionexpenditure program in 2022.2023, including multiple carryover projects from 2022 that were delayed due to labor and supply chain disruptions.

The Company expects that cash generated from operations and cash available under the Credit Agreement will fund its working capital requirements, debt requirements, capital expansionexpenditure program, acquisitions and dividends. The Company has no other commitment of capital resources as of March 26, 2022,April 1, 2023, other than the lease commitments on its store facilities and transportation equipment under operating leases that expire at various dates through 2036.

Quarterly Cash Dividends

At its regular meeting held in April, the Board of Directors declared a quarterly dividend of $0.32$0.34 per share, payable on May 23, 2022,22, 2023, to shareholders of record on May 9, 2022.8, 2023. The Company expects to continue paying regular cash dividends on a quarterly basis. However, the Board of Directors reconsiders the declaration of dividends quarterly. Cash flows from operating activities increased $19.5decreased $26.5 million in the first thirteen weeks of 20222023 compared to the first thirteen weeks of 2021.2022. The increasedecrease in cash flow from operating activities is primarily due an increaseto less net income and settling working capital obligations in operating margin in the first thirteen weeks of 20222023 when compared to the same period in 2021.2022.

Investing

In the first thirteen weeks of 2022,2023, when compared to the same period in 2021, reinvestment in2022, the purchase of property and equipment purchases decreased $18.3$1.1 million and net changes inthe purchase of marketable securities decreased $3.6exceeded the proceeds from the sale and maturities of marketable securities by $25.1 million. Additionally, as a percentagepercent of sales, capital expansionsexpenditures were 1.6% in the first thirteen weeks of 2023 and 1.7% in the first thirteen weeks of 2022 and 3.7% in the first thirteen weeks of 2021.2022. The decrease as a percent of sales in 20222023 compared to 20212022 is due to the increase in sales as well as a decrease in spend resulting from limited availability of raw materials and equipment to complete remodels, supply chain and information technology upgrades, and smaller store improvement projects. For the remainder of 2022,2023, management anticipates maintaining the investment portfolio but has the ability to liquidate if needed.
