1. Basis of Presentation

The accompanying unaudited consolidated financial statements of Schlumberger Limited and its subsidiaries (“Schlumberger”SLB”) have been prepared in accordance with generally accepted accounting principles in the United States of America for interim financial information and with the instructions to Form 10-Q and Article 10 of Regulation S-X. Accordingly, they do not include all of the information and footnotes required by generally accepted accounting principles for complete financial statements. In the opinion of SchlumbergerSLB management, all adjustments considered necessary for a fair statement have been included in the accompanying unaudited financial statements. All intercompany transactions and balances have been eliminated in consolidation. Operating results for the nine-monththree-month period ended September 30, 2022March 31, 2023 are not necessarily indicative of the results that may be expected for the full year ending December 31, 2022.2023. On December 31, 2020, SchlumbergerSLB contributed its onshore hydraulic fracturing business in the United States and Canada, including its pressure pumping, pumpdown perforating and Permian frac sand business to Liberty Energy Inc. (“Liberty”) in exchange for an equity interest in Liberty. During the first quarter of 2023, SLB sold all of its remaining approximately 9 million shares of Liberty and received net proceeds of $137 million. As a result, SLB recognized a gain of $36 million which is classified in Interest & other income in the Consolidated Statement of Income.

2022

During the first quarter of 2022, SchlumbergerSLB sold 7.2 million of its shares of Liberty and received proceeds of $84 million.  During the second quarter of 2022, Schlumberger sold an additional 26.5 million of its shares in Liberty and received proceeds of $429$84 million. As a result, of these transactions SchlumbergerSLB recognized a gain of $26$26 million during the first quarter of 2022 and a gain of $216 million during the second quarter of 2022. As of September 30, 2022, Schlumberger had a 12% equity interestwhich is classified in Liberty.

During the second quarter of 2022, Schlumberger sold certain real estate and received proceeds of $120 million.  As a result of this transaction, Schlumberger recognized a gain of $43 million.

2021

During the third quarter of 2021, a start-up company that Schlumberger previously invested in was acquired.  As a result of this transaction, Schlumberger’s ownership interest was converted into shares of a publicly traded company.  Schlumberger recognized an unrealized pretax gain of $47 million ($36 million after-tax) to increase the carrying value of this investment to its estimated fair value of approximately $55 million.  This unrealized gain is reflected in Interest & other incomein the Consolidated Statement of IncomeIncome..

The estimated fair value of Schlumberger’s SLB’s Long-term Debt, based on quoted market prices at September 30, 2022March 31, 2023 and December 31, 2021,2022, was $11.2$9.8 billion and $13.9$9.4 billion, respectively.


Schlumberger has a €750 million three-year committed revolving credit facility maturing in

June 2024.  At September 30, 2022 no amounts had been drawn under this facility.

In addition to the revolving credit facility described above, at September 30, 2022, SchlumbergerMarch 31, 2023, SLB had committed credit facility agreements aggregating $5.75$5.75 billion with commercial banks, all of which $5.19 billion was available and unused. These committed facilities support commercial paper programs in the United States and Europe, of which $0.75$0.75 billion matures in February 2024, $2.0$2.0 billion matures in February 2025, $1.0$1.0 billion matures in July 2026 and $2.0$2.0 billion matures in February 2027. SLB also has a €750 million three-year committed revolving credit facility maturing in June 2024. At March 31, 2023 no amounts had been drawn under this facility. Interest rates and other terms of borrowing under these lines of credit vary by facility.

Borrowings under the commercial paper programs at March 31, 2023 were $559 million, all of which was classified in Short-term borrowings and current portion of long-term debt in the Consolidated Balance Sheet. There were no borrowings under the commercial paper programs at September 30, 2022 and December 31, 2021.   2022.

Schlumberger Limited fully and unconditionally guarantees the securities issued by certain of its subsidiaries, including securities issued by Schlumberger Investment SA and Schlumberger Finance Canada Ltd., both indirect wholly-owned subsidiaries of Schlumberger.Schlumberger Limited.

8. Derivative Instruments and Hedging Activities

As a multinational company, Schlumberger conducts its business in over 120 countries.  Schlumberger’sSLB’s functional currency is primarily the US dollar. However, outside the United States, a significant portion of SLB’s expenses is incurred in foreign currencies. Therefore, when the US dollar weakens (strengthens) in relation to the foreign currencies of the countries in which SLB conducts business, the US dollar-reported expenses will increase (decrease).

SchlumbergerChanges in foreign currency exchange rates exposes SLB to risks on future cash flows relating to certain of its fixed rate debt denominated in currencies other than the functional currency. SLB uses cross-currency interest rate swaps to provide a hedge against these risks. These contracts are accounted for as cash flow hedges, with the fair value of the derivative recorded on the Consolidated Balance Sheet and in Accumulated other comprehensive loss. Amounts recorded Accumulated other comprehensive loss are reclassified into earnings in the same period or periods that the hedged item is recognized in earnings.

Details regarding SLB’s outstanding cross-currency interest rate swaps as of March 31, 2023, were as follows:

During 2019, a US-dollar functional currency subsidiary of SLB issued €1.5 billion of Euro-denominated debt. SLB entered into cross-currency interest rate swaps in order to hedge changes in the US dollar value of its €0.5 billion 0.00% Notes due 2024, €0.5 billion 0.25% Notes due 2027 and €0.5 billion 0.50% Notes due 2031. These cross-currency interest rate swaps effectively convert the Euro-denominated notes to US-dollar denominated debt with fixed annual interest rates of 2.29%, 2.51% and 2.76%, respectively.
During 2020, a US-dollar functional currency subsidiary of SLB issued €0.8 billion of Euro-denominated debt. SLB entered into cross-currency interest rate swaps to hedge changes in the US dollar value of its €0.4 billion of 0.25% Notes due 2027 and €0.4 billion of 0.50% Notes due 2031. These cross-currency interest rate swaps effectively convert the Euro-denominated notes to US-dollar denominated debt with fixed annual interest rates of 1.87% and 2.20%, respectively.

During 2020, a US-dollar functional currency subsidiary of SLB issued €2.0 billion of Euro-denominated debt. SLB entered into cross-currency interest rate swaps to hedge changes in the US dollar value of its €1.0 billion of 1.375% Guaranteed Notes due 2026 and €1.0 billion of 2.00% Guaranteed Notes due 2032. These cross-currency interest rate swaps effectively convert the Euro-denominated notes to US-dollar denominated debt with fixed annual interest rates of 2.77% and 3.49%, respectively.
During 2020, a Canadian dollar functional currency subsidiary of SLB issued $0.5 billion of US dollar denominated debt. SLB entered into cross-currency interest rate swaps to hedge changes in the US dollar value of its $0.5 billion 1.40% Senior Notes due 2025. These cross-currency interest rate swaps effectively convert the US dollar notes to Canadian dollar denominated debt with a fixed annual interest rate of 1.73%.

The fair values were determined using a model with inputs that are observable in the market or can be derived or corroborated by observable data.

SLB has entered into derivative contracts that hedge the price of oil related to approximately 70% of the projected oil production for the remaining nine months of 2023 for one of its Asset Performance Solutions ("APS") projects. These contracts are accounted for as cash flow hedges, with changes in the fair value of the hedge recorded in Accumulated other comprehensive loss. Amounts recorded in Accumulated other comprehensive loss are reclassified to earnings in the same period or periods that the hedged item is recognized in earnings. At March 31, 2023, included inOther current assets was $10 million and included in Accounts payable and accrued liabilities was $3 millionrelating to the fair value of the outstanding commodity contracts.

SLB is exposed to risks on future cash flows to the extent that the local currency is not the functional currency and expenses denominated in local currency are not equal to revenues denominated in local currency. SchlumbergerSLB uses foreign currency forward contracts to provide a hedge against a portion of these cash flow risks. These contracts are accounted for as cash flow hedges, with the changes in the fair value of the hedge recorded on the hedges.

in Other current assets was $8 million and included in Accounts payable and accrued liabilities was $6 millionrelating to the fair value of the outstanding commodity contracts.

Schlumberger isalso exposed to changes in the fair value of assets and liabilities denominated in currencies other than the functional currency. While SchlumbergerSLB uses foreign currency forward contracts to economically hedge this exposure as it relates to certain currencies, these contracts are not designated as hedges for accounting purposes. Instead, the fair value of the contractsderivative is recorded on the Consolidated Balance Sheet and changes in the fair value are recognized in the Consolidated Statement of Income, as are changes in the fair value of the hedged item.

At September 30, 2022,Foreign currency forward contracts were outstanding for the US dollar equivalent of $7.2$2.5 billion and $2.1 billion in various foreign currencies as of which $5.2 billion relates to hedges of debt denominated in currencies other than the functional currency.March 31, 2023 and December 31, 2022, respectively.

Other than the previously mentioned cross-currency interest rate swaps, and commodity hedges, the fair value of the other outstanding derivatives was notnot material at September 30, 2022as of March 31, 2023 and December 31, 2021.2022.

9. Contingencies

SchlumbergerSLB is party to various legal proceedings from time to time. A liability is accrued when a loss is both probable and can be reasonably estimated. Management believes that the probability of a material loss with respect to any currently pending legal proceeding is remote. However, litigation is inherently uncertain and it is not possible to predict the ultimate disposition of any of these proceedings.

First-quarter 2023 revenue of $7.7 billion decreased 2% sequentially. Revenue grew 4% in North America, the eighth consecutive quarter of growth, as SLB benefited from its exposure to the most resilient basins and market segments. Internationally, the sequential revenue decline of 3% was less pronounced than historical trends as seasonal effects were partially offset by robust activity gains.

From a macro perspective, SLB maintains its very constructive multiyear outlook as the upcycle attributes and key activity drivers continue to evolve very positively. The international and offshore markets continue to experience a strong resurgence of activity driven by resilient long-cycle development and capacity expansion projects. In contrast, the North American land market, which led the early part of this upcycle, could potentially result in an activity plateau in 2023 due to lower gas prices and capital restraint by private E&P operators.

On balance, SLB believes the global activity outlook for the full year remains very solid. Through the first quarter, the resilience, breadth, and durability of this upcycle have become more evident, particularly in the international markets. These attributes are highlighted by the following factors:

There is broader recognition of the positive long-term demand outlook for oil and gas and the potential for a stronger demand rebound in the second half of the year. In addition, recent OPEC+ decisions continue to keep commodity prices at supportive levels, providing operators increased confidence to execute their projects.

Broad-based investments to expand oil capacity and diversify gas supply have been reinforced by the capex plans recently announced by major IOCs and NOCs. Most of the announced budgets highlight a significant increase in spending that supports multiyear activity growth in key resource basins all over the world. In fact, we expect investments will become even more extensive internationally as the pursuit of supply diversity remains a global priority and gathers greater urgency.

The durability of the current cycle is underscored by the nature of the ongoing investments with the emergence of gas as a long-term energy transition fuel and enabler of energy security, the prominence of long-cycle projects, and the pivot to the Middle East and offshore basins as the anchors of supply growth.

TheLooking to the second quarter of 2023, SLB expects strong third-quarter 2022 results reflectedgrowth with seasonal recovery in the accelerationNorthern Hemisphere, capacity expansion projects in the Middle East that are in various stages of international momentumramp-up, and solid executionrobust activity in Asia and Sub-Sahara Africa. This growth scenario provides support for broad sequential margin expansion across the Divisions and geographic areas. Sequentially, Schlumberger delivered another quarter of double-digit revenue growth and margin expansion, as the pace of growth in the international business stepped up significantly, complementing already robust levels of activity in North America.geographies.

Third-quarter revenue grew 10% sequentially as global activity strengthened—particularly in the offshore and international markets. International revenue increased 13% sequentially, exceeding third-quarter 2019 levels, on a rig count that is still approximately 25% lower than in 2019. Sequentially, revenue growth was prevalent across all international areas led by Europe/CIS/Africa and Latin America, which increased 21% and 14%, respectively.

While concerns remain over the broader economic climate, Schlumberger believes the energy industry fundamentals continue to be very constructive. Against the backdrop of the energy crisis and limited spare global capacity, the world faces an urgent need for increased investment to rebalance markets, create supply redundancies, and rebuild spare capacity. All of these are exacerbated by geopolitics and increasing instances of supply disruptions.

These dynamics and the urgency to restore balance are resulting in a supply-led upcycle, characterized by the decoupling of upstream investment from near-term demand volatility. Furthermore, the need for sustained investments is reinforced by the long-term demand trajectory through the end of the decade and by OPEC+ decisions that are keeping commodity prices at supportive levels.

Digital & Integration

Digital & Integration revenue of $900$894 million declined 6%12% sequentially as growth indue to lower revenue from APS projects and seasonally lower sales of digital solutions was more than offset by the non-repeat of $95 million ofand exploration data transfer fees recorded last quarter.licenses following strong year-end sales. First-quarter 2023 revenue of $7.7 billion increased 17% while30% year on year. SLB’s Core Divisions, consisting of Reservoir Performance, Well Construction and Production Systems, collectively grew 34% and expanded pretax operating margins by more than 300 bps. Each of these three Core Divisions delivered very strong growth and expanded margins—driven by increased activity, pricing, and technology adoption.

On a geographical basis, year-on-year revenue growth was broad based with North America revenue increasing 32% due to strong land and offshore drilling and higher sales of production systems, while international revenue grew 37%29%. International growth was widespread across all areas, led by Europe & Africa, which grew 41% primarily from higher sales of production systems in Europe and Scandinavia and increased exploration and production activity offshore Africa. The increases in interest income were primarily driven by higher cash and short-term investment balances combined with higher interest rates in Argentina. These increases were more than offset by foreign exchange losses recorded on the remeasurement of Argentine peso-denominated net monetary assets as the official Argentine peso exchange rate continued to devalue compared to the US dollar. Schlumberger’s functional currency in Argentina is the US dollar and it uses Argentina’s official market exchange rate to remeasure its net Argentine peso-denominated assets into US dollars. Such net assets were approximately $270 million at September 30, 2022, primarily consisting of cash and short-term investments.

The Central Bank of Argentina maintains certain currency controls that limit Schlumberger’s ability to access US dollars in Argentina and remit earnings from its Argentine operations. A legal indirect foreign exchange mechanism exists that effectively results in a parallel US dollar exchange rate. This parallel rate, which cannot be used as the basis to remeasure Schlumberger’s net monetary assets into US dollars under US GAAP, was approximately 110% higher than Argentina’s official exchange rate at September 30, 2022. If Argentina’s official exchange rate converges with the parallel rate, Schlumberger would incur a loss on its net peso-denominated assets in Argentina. Argentina represented less than 5% of Schlumberger’s consolidated revenue for the nine months ended September 30, 2022.

Earnings of equity method investments for the ninethree months ended September 30, 2022March 31, 2023 increased $59$29 million as compared to the same period of 20212022 primarily due to Schlumberger’sSLB’s share of net income associated with its investment in Liberty.  Schlumberger recordsLiberty Energy Inc. ("Liberty"). SLB recorded its share of Liberty’s net income or loss on a one-quarter lag. During the first quarter of 2023, SLB sold all of its remaining approximately 9 million shares of Liberty.

Key liquidity events during the first ninethree months of 2023 and 2022 included:

Capital investments (consisting of capital expenditures, APS investments and 2021 included:exploration data capitalized) were $0.6 billion during the first three months of 2023 compared to $0.5 billion during the first three months of 2022. Capital investments for the full year

Capital investments (consisting of capital expenditures, APS investments and exploration data capitalized) were $1.5 billion during the first nine months of 2022 compared to $1.0 billion during the first nine months of 2021.  Capital investments for the full year 2022 are expected to be approximately $2.2 billion as compared to $1.7 billion for the full year 2021 as Schlumberger continues to support the strong revenue growth that is expected to continue in 2023.

2023 are expected to be approximately $2.5 to $2.6 billion as compared to $2.3 billion for the full year 2022 as SLB continues to support the strong revenue growth that is expected to continue in 2023.

During the first nine months of 2022 working capital consumed $1.8 billion of liquidity as compared to $0.8 billion during the same period of 2021. The year-on-year increase in working capital consumption was primarily driven by an increase in receivables due to the significant revenue growth.  Inventory also increased as lead times were managed in anticipation of continued growth.

During the first three months of 2023, SLB sold all of its remaining approximately 9 million shares in Liberty and received proceeds of $137 million.

During the first nine months of 2022, Schlumberger sold 33.8 million of its shares in Liberty and received proceeds of $513 million.

During the second quarter of 2022, Schlumberger sold certain real estate and received proceeds of $120 million.

In April 2022, Schlumberger announced a 40% increase to its quarterly cash dividend from $0.125 per share of outstanding common stock to $0.175 per share.

On January 21, 2016, the Board approved a $10 billion share repurchase program for Schlumberger common stock.  Schlumberger had repurchased $1.0 billion of Schlumberger common stock under this program as of September 30, 2022.  Schlumberger did not repurchase any of its common stock during the first nine months of 2022.  


As of September 30, 2022, SchlumbergerMarch 31, 2023, SLB had $3.61repurchased $1.3 billion of SLB common stock under its $10 billion share repurchase program. SLB repurchased approximately 4.4 million shares of its common stock under this program during the first quarter of 2023 for a total purchase price of $230 million. SLB did not repurchase any of its common stock during the first quarter of 2022.

As of March 31, 2023, SLB had $2.50 billion of cash and short-term investments on hand.  Schlumberger hadhand and committed debt facility agreements with commercial banks aggregating $6.47$6.56 billion, all of which $6.00 billion was available and unused. SchlumbergerSLB believes these amounts are sufficient to meet future business requirements for at least the next 12 months.months and beyond.

There were no borrowingsBorrowings under theSLB's commercial paper programs at September 30, 2022.March 31, 2023 were $559 million.

Schlumberger maintains an allowance for doubtful accounts in order to record accounts receivable at their net realizable value.  Judgment is involved in recording and making adjustments to this reserve.  Allowances have been recorded for receivables believed to be uncollectible, including amounts for the resolution of potential credit and other collection issues such as disputed invoices.  Adjustments to the allowance may be required in future periods depending on how such potential issues are resolved, or if the financial condition of Schlumberger’s customers were to deteriorate resulting in an impairment of their ability to make payments.  AsSLB has a large multinational company with a long history of operating in a cyclical industry, Schlumberger has extensive experience in working with its customers during difficult times to manage its accounts receivable. 

Schlumberger generates revenueglobal footprint in more than 120100 countries. As of September 30, 2022,March 31, 2023, only fourthree of those countries individually accounted for greater than 5% of Schlumberger’sSLB’s net receivable balance,balance. Two of which two (thethese countries, the United States and Mexico) accounted forMexico, each represented greater than 10% of such receivables.

Included in Receivables, less allowance for doubtful accounts in the Consolidated Balance Sheet as of September 30, 2022 isMarch 31, 2023 was approximately $0.9$1.2 billion of receivables relating to Mexico. Schlumberger’sSLB’s receivables from its primary customer in Mexico are not in dispute and SchlumbergerSLB has not historically had any material write-offs due to uncollectible accounts receivable relating to this customer.

During the third quarter of 2022, Schlumberger, Aker Solutions and Subsea 7 announced an agreement to form a joint venture to drive innovation and efficiency in subsea production by helping customers unlock reserves and reduce cycle time. The agreement will bring together a portfolio of innovative technologies such as subsea gas compression, all-electric subsea production systems and other electrification capabilities that help customers meet their decarbonization goals. The proposed joint venture will combine Schlumberger’s and Aker Solutions’ subsea businesses. Subsea 7 will be an equity partner in the new joint venture.

In addition to contributing its subsea business to the joint venture, at closing Schlumberger will issue to Aker Solutions shares of Schlumberger common stock valued at $306.5 million. Concurrently, Subsea 7 will purchase its 10% interest in exchange for $306.5 million in cash to Aker Solutions. The joint venture also will issue a promissory note to Aker Solutions for $87.5 million. At closing of the joint venture, Schlumberger will own 70%, with Aker Solutions owning 20% and Subsea 7 owning 10%. The transaction is subject to regulatory approvals and other customary closing conditions and is expected to close in the second half of 2023.

Additional Information

In March 2022, SchlumbergerSLB decided to immediately suspend new investment and technology deployment to its Russia operations. Russia represented approximately 6%5% of Schlumberger’sSLB’s worldwide revenue during the first nine monthsquarter of 2022.2023. The carrying value of Schlumberger’sSLB’s net assets in Russia was approximately $0.9$0.7 billion as of September 30, 2022.March 31, 2023. This consisted of $0.4$0.3 billion of receivables, $0.5$0.4 billion of other current assets, $0.4$0.3 billion of fixed assets and $0.4$0.3 billion of current liabilities.

In 2013, SchlumbergerSLB completed the wind down of its service operations in Iran. Prior to this, certain non-US subsidiaries provided oilfield services to the National Iranian Oil Company and certain of its affiliates (“NIOC”).

Schlumberger’sSLB’s residual transactions or dealings with the government of Iran during the thirdfirst quarter of 20222023 consisted of payments of taxes and other typical governmental charges. Certain non-US subsidiaries of SchlumbergerSLB maintain depository accounts at the Dubai branch of Bank Saderat Iran (“Saderat”), and at Bank Tejarat (“Tejarat”) in Tehran and in Kish for the deposit by NIOC of amounts owed to non-US subsidiaries of SchlumbergerSLB for prior services rendered in Iran and for the maintenance of such amounts previously received. One non-US subsidiary also maintained an account at Tejarat for payment of local expenses such as taxes. SchlumbergerSLB anticipates that it will discontinue dealings with Saderat and Tejarat following the receipt of all amounts owed to SchlumbergerSLB for prior services rendered in Iran.


At SLB’s 2023 Annual General Meeting of Shareholders, SLB’s shareholders voted on, among other matters, a proposal regarding the frequency of future advisory votes on executive compensation. As previously reported, the Board views an annual advisory vote on executive compensation as the most appropriate option, and a majority of the votes cast on the frequency proposal supported the Board’s recommendation to hold an advisory vote to approve executive compensation on an annual basis. Accordingly, SLB will hold an annual advisory vote to approve executive compensation.
