Section 5 – Corporate Governance and Management
Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
The Mohegan Tribal Gaming Authority (the “Authority”) is governed by a nine-member Management Board, whose members also comprise the Mohegan Tribal Council (the governing body of the Mohegan Tribe of Indians of Connecticut (the “Tribe”)). Any change in the composition of the Mohegan Tribal Council (the “Council”) results in a corresponding change in the Authority’s Management Board.
On November 28, 2006, Roland J. Harris, a member of the Council, provided a letter to Bruce S. Bozsum, Chairman of the Council, announcing his resignation as of December 11, 2006 from his elected position in the Council, and therefore the Authority’s Management Board. Mr. Harris will assume the position of Senior Vice President of Project Management at the Authority following his resignation from the Council. In accordance with the requirements of the Constitution of the Tribe and the Mohegan Tribal Code, the Tribe will hold a special election to fill the Council vacancy created by Mr. Harris’ resignation within sixty days following the effective date of Mr. Harris’ resignation.
