EXPLANATORY NOTE
This Amendment No. 2 to the Annual Report on Form 10-K of CytoGenix, Inc. (the “Company”) for the fiscal year ended December 31, 2005 is the result of mistakes made by the Company in calculating the aggregate market value of voting stock held by its non-affiliates set forth on the cover page of its previously filed Annual Report on From 10-K. In making the original calculation, the Company did not exclude the number of shares of voting stock held by affiliates and did not use the closing sales price on June 30, 2005. The amount set forth on the cover page of this Amendment No. 2 on Form 10-K/A was calculated after taking into account those prior mistakes.
