On June 27, 2019, Altaba Inc. (the “Fund”) held a special meeting of stockholders (the “Special Meeting”) at 11:30 a.m. (Eastern time), at 50 Vanderbilt Avenue, New York, New York 10017, in accordance with the notice of special meeting of stockholders and the Fund’s definitive proxy statement filed with the U.S. Securities and Exchange Commission (the “SEC”) on May 17, 2019 (the “Proxy Statement”), sent on or about May 17, 2019 to all stockholders of record at the close of business on May 16, 2019. As of the record date for the Special Meeting, holders of a total of 519,511,366 shares of outstanding common stock were entitled to vote. The final results of voting on each of the proposals submitted to a vote of the stockholders at the Special Meeting are set forth below.
1. Approval of the Voluntary Liquidation and Dissolution of the Fund Pursuant to a Plan of Complete Liquidation and Dissolution:
At the Special Meeting, the stockholders approved the voluntary liquidation and dissolution of the Fund (the “Dissolution Proposal”) pursuant to the Plan of Complete Liquidation and Dissolution (such plan, the “Plan of Liquidation and Dissolution”). The Dissolution Proposal received the following votes:
2. Approval to Grant Discretionary Authority to the Board of Directors (the “Board”) to Adjourn the Special Meeting to Solicit Additional Proxies:
In light of the approval of the Dissolution Proposal, the adjournment proposal described in the Proxy Statement was rendered moot and was not presented at the Special Meeting.
