ITEM 2.02 Results Of Operations And Financial Condition
On February 19, 2008, Onyx Pharmaceuticals, Inc., or Onyx, issued a press release announcing financial results for the fourth quarter and year-end December 31, 2007. A copy of the earnings press release is furnished as Exhibit 99.1 to this report.

Item 8.01. Other Events
On February 18, 2008, Bayer Pharmaceuticals Corporation and Onyx announced that a Phase 3 trial evaluating Nexavar ® (sorafenib) in patients with non-small cell lung cancer (NSCLC) was stopped early following a planned interim analysis, when the independent Data Monitoring Committee concluded that the study would not meet its primary endpoint of improved overall survival.
A copy of the press release, entitled “Bayer and Onyx Provide Update on Phase 3 Trial of Nexavar in Patients with Non-Small Cell Lung Cancer” is attached as Exhibit 99.2 hereto and is incorporated herein by reference.
