On June 23, 2021, Willis Lease Finance Corporation, (“WLFC” or the “Borrower”) entered into Amendment No. 2 to the Fourth Amended and Restated Credit Agreement dated as of June 7, 2019 among WLFC, the lenders party thereto from time to time and MUFG Bank, Ltd. and MUFG Union Bank, N.A., as agents (as amended, the “Credit Agreement”). Among other things, the amendment updates the provisions of the Credit Agreement relating to the future discontinuance of the London Interbank Offered Rate (LIBOR) and sets forth the mechanics for establishing the Secured Overnight Financing Rate (SOFR) as a benchmark replacement rate.
The foregoing description of the amendment to the Credit Agreement is qualified in its entirety by reference to such amendment, which will be filed as an exhibit to the Company’s Quarterly Report on Form 10-Q for the period ending June 30, 2021.
