VANCOUVER, British Columbia, Canada /July 30, 2010/‐‐ RTN Stealth Software Inc. (the
"Company"or"RTNStealth")wishestoannouncethatitintendstoproceedwithaprivate
placementconsistingofupto4,285,714 Unitsatapriceof$0.35CADperUnittoraisegross
proceedsofupto$1,500,000.
EachUnitconsistsofonecommonshareofRTNStealthandone‐halfcommonsharepurchase
warrantofRTNStealth.Onefullwarrantshallentitletheholdertoacquireoneadditional
commonshareofRTNStealthat$0.40CADpershareuptoandincludingthe30thdayofJuly
2011.
Thewarrantsaresubjecttoanacceleratedconversionsuchthattheholdershallexercisethe
warrantswithin15daysorthewarrantsshallexpireifthesharepriceofRTNStealthtradesat,
orexceeds,$0.70pershareforaperiodoftwenty(20)consecutivedays.
TheCompanyintendstousetheproceedsprimarilyforworkingcapitalandgeneralcorporate
purposes.
Whereappropriate,theCompanymaypayacommissionofupto8percentcashand8percent
non‐transferablecompensationoptions.Onefullcompensationoptionentitlestheholderto
acquireonecommonshareofRTNStealthat$0.35uptoandincludingthe30thdayofJuly2011.
TheFinalClosingDateofthisprivateplacementisexpectedonoraroundAugust31,2010.
Thesecuritiesissuedpursuanttotheprivateplacementwillbesubjecttoafourmonthhold
periodandtheofferingwillbesubjecttonormalregulatoryapprovals.
