Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
(b) On June 10, 2008, AmericasBank Corp.’s (the “Company”) board of directors authorized the delisting of the Company’s common stock from the Nasdaq Capital Market. The Company will be publishing a press release with respect to the delisting, which will be posted on its website. The Company is also considering deregistering its common stock under the Securities Act of 1933, which will allow it to cease filing periodic reports with the Securities and Exchange Commission. The Company has not made a final decision in this regard.
