Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 15, 2007, Gary Austin was appointed to succeed Don Crosbie as President of the Registrant. Mr. Austin will continue to serve as Chief Operating Officer. Mr. Crosbie, who resigned as President on March 15, 2007, will continue to serve the Registrant as Chief Executive Officer.
Mr. Austin will continue to be an at-will employee of the Registrant. There have been no changes to his compensation as a result of his new title and responsibilities.
Mr. Austin is not a party to any transaction described in Item 404(a) of Regulation S-B involving the Registrant or any of its subsidiaries. Additional information regarding Mr. Austin’s age, past positions with the Registrant, family relationships and business experience was previously reported in the Registrant’s Annual Report on Form 10-KSB filed on March 8, 2007 under "Item 9. Directors, Executive Officers, Promoters and Control Persons; Compliance with Section 16(a) of the Exchange Act." beginning on page 42, and is incorpor ated herein by reference.
