Gordon GS Trust disclaims beneficial ownership, within the meaning of Section 16 of the Securities Exchange Act of 1934, as amended (the "Exchange Act"), of such shares, except to the extent of its pecuniary interest therein. |
| 2. On June 19, 2019, Mirabella Holdings, LLC entered into Share Purchase Agreements with respect to the acquisition of 423,928 shares of the common stock of the issuer, and acquired those shares on July 22, 2019. |
