Explanation of Responses:

1. The transaction represents an award of restricted stock units (RSUs) that vest with respect to (a) 13.33% of the number of RSUs subject to the award on January 16, 2018 and thereafter on approximately each six-month anniversary thereof over the next two and one-half years, and (b) 5% of the number of RSUs subject to the award on January 14, 2021 and on each six month anniversary thereafter until fully vested.
