Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
On February 27, 2007, the Board of Directors of Varsity Group Inc. ("Varsity") approved by unanimous written consent an amendment to Varsity's Bylaws to reflect the current name of the company as Varsity Group Inc. The Bylaws had previously reflected the name of the company as The Textbook Club, Inc., the former name of Varsity. No other changes were made to the Bylaws. The Amended and Restated Bylaws are effective as of February 27, 2007 and are attached hereto as Exhibit 3.2
