As of June 30, 2014, the last business day of the registrant’s most recently completed second fiscal quarter, the aggregate market value of the registrant’s common stock held by non-affiliates of the registrant was $1,896,210 based on the closing sale price of $1.55 on such date as reported on the OTCBB.
The number of shares outstanding of each of the issuer’s classes of equity as of April 15, 2015 is 2,221,358 shares of common stock and 1,000 shares of preferred stock.

The purpose of this Amendment to the Annual Report on Form 10-K of American International Industries, Inc. for the year ended December 31, 2014, filed with the Securities and Exchange Commission on April 15, 2015 (the “Form 10-K”), is solely to furnish Exhibit 101 to the Form 10-K in accordance with Rule 405 of Regulation S-T. Exhibit 101 to this report provides the consolidated financial statements and related notes from the Form 10-K formatted in XBRL (eXtensible Business Reporting Language).
No other changes have been made to the Form 10-K.
