Kazia Therapeutics Limited - Registration Statement on Form F-1
We have acted as Australian legal counsel to Kazia Therapeutics Limited ACN 063 259 754 (Company), a public company limited by shares incorporated under the laws of the Commonwealth of Australia, in connection with its filing with the U.S. Securities and Exchange Commission (Commission) of a registration statement on Form F-1 under the U.S. Securities Act of 1933, as amended (Securities Act) (Registration Statement).
The Registration Statement relates to the resale from time to time by Alumini Capital LP (the Investor) and Maxim Partners LLC (together, the Selling Shareholders) identified in the preliminary prospectus contained in the Registration Statement (Preliminary Prospectus) of up to 1,373,333 American Depositary Shares (ADSs), each representing one hundred fully paid ordinary shares in the capital of the Company (Shares), or 137,333,300 Shares in the aggregate, issued or issuable upon the exercise of: (i) ordinary warrants to purchase ADSs issued to the Investor in a concurrent private placement pursuant to a Securities Purchase Agreement dated 10 January 2025 between the Company and the Investor (Securities Purchase Agreement); and (ii) ordinary warrants issued to Maxim Partners LLC in a private placement pursuant to a Placement Agency Agreement dated 10 January 2025 between the Company and Maxim Group LLC (the Placement Agent) (Placement Agency Agreement), (the warrants issued under the Securities Purchase Agreement and Placement Agency Agreement together, the Warrants). The ADSs, Shares and Warrants are together referred to herein as the Securities.
