Item 8.01. Other Events

All regulatory approvals necessary for the merger of First Community Bank of America (“FCBA”) with and into Community Bank & Company (“CB&C”) have been received. The closing of the merger, as well as the closing of the sale of the stock of First Community Lender Services, Inc. to CB&C, pursuant to the terms of the Acquisition Agreement, dated February 10, 2011, among First Community Bank Corporation of America, FCBA, CBM Florida Holding Company (“CBMHC”) and CB&C, has been scheduled for May 31, 2011.
