Item 1.01 Entry into a Material Definitive Agreement
On March 9, 2005, Acusphere, Inc. (the “Company”) entered into a Contract Work Authorization (Form 2) Release No. 2 for Agency Procurements and a Contract Work Authorization (Form 1) Release No. 3 for Engineering and Construction Management Services with Parsons Commercial Technology Inc. (“Parsons”). The work authorizations represent extensions of the Company’s previously announced agreements with Parsons, covering the period ending on February 28, 2005, and authorizes Parsons to continue to perform on behalf of the Company certain equipment procurement services and engineering, design and construction management services in connection with the build-out of the Company’s commercial manufacturing facility in Tewksbury, Massachusetts for the period ending April 1, 2005. The total incremental increase in value of these agreements, as extended, is $921,307. Copies of the Contract Work Authorizations are furnished as Exhibit 10.1 and Exhibit 10.2 to this report.
