ITEM 5.02. DEPARTURE, ELECTION, OR APPOINTMENT OF DIRECTORS OR OFFICERS; COMPENSATORY ARRANGEMENTS OF OFFICERS.
On November 28, 2007, Lewis W. (Jody) Powers announced his resignation as a director and officer of Nova Biosource Fuels, Inc. (the “Company”) and each of its subsidiaries effective December 1, 2007, but agreed to remain as an employee of the Company at the discretion of the Chief Executive Officer to perform such duties as the Chief Executive Officer may request. Mr. Powers did not serve on any committees. Mr. Powers’ duties as Chief Operating Officer will continue to be performed by Rusty Sammons, the Company’s Vice President of Refining Operations, and Richard Talley, the Company’s Vice President of Technology and Projects, who will each report directly to Kenneth T. Hern, Chairman and Chief Executive Officer.
