Explanation of Responses:

1. The Form 4 filed on 5/10/2021 representing restricted stock units of Surgalign Holdings, Inc. (the "Company") granted as part of the director compensation program of the Company, all of which will vest on the first anniversary of the date of grant erroneously reported 57,803 RSUs in column four. The purpose of this amendment is to correct the total underlying shares in columns four and five.
