Explanation of Responses:

1. The reporting person received 7,758 shares of common stock upon the net exercise of the 13,064 stock appreciation rights ("SARS"). The reporting person forfeited 5,306 shares of common stock underlying the SARS in payment of the exercise price, using the closing stock price on February 28, 2017 of $56.49 and sold 2,758 shares of common stock underlying the SARS to satisfy the withholding tax obligation resulting from the exercise.
