Item 1.01 | Entry Into a Material Definitive Agreement. |
On July 15, 2005, Cabela’s Incorporated (the “Company”) entered into a Second Amended and Restated Credit Agreement with the lenders named therein, U.S. Bank National Association, as Administrative Agent, and Lasalle Bank National Association, Wachovia Bank, National Association, and Wells Fargo Bank, National Association, as Co-Syndication Agents (the “Amended Credit Agreement”). The Amended Credit Agreement amends and replaces in its entirety the Company’s $230,000,0000 Amended and Restated Credit Agreement dated as of May 6, 2004. The Amended Credit Agreement provides for a $325,000,000 revolving credit facility with a $150,000,000 sublimit for the issuance of letters of credit and a $20,000,000 sublimit for swing line loans. The credit facility may, under the Amended Credit Agreement, be increased to $450,000,000 subject to certain terms and conditions. The Amended Credit Agreement extends the term of the credit facility to June 30, 2010. In addition, under the Amended Credit Agreement, certain limitations are eliminated with regard to the temporary pay down of revolving loans. Advances under the credit facility will be used for the Company’s general business purposes, including working capital support. The foregoing description of the Amended Credit Agreement does not purport to be complete and is qualified in its entirety by reference to such document, a copy of which is attached hereto as Exhibit 10. Certain of the lenders under the Amended Credit Agreement, or their respective affiliates, have provided, currently provide, and/or may in the future provide investment banking, commercial banking, and/or other services to the Company and its subsidiaries. Customary fees have been, or may in the future be, paid for these services. |
