ITEM 8.01 OTHER EVENTS
In 2007, the Company instituted a legal complaint against a former insurer, seeking reimbursement of amounts paid in defense of a law suit that was brought against the Company in 2004. As of March 2, 2012, the Company agreed to settle its lawsuit and entered into a definitive settlement agreement with the former insurer for reimbursement of defense costs incurred by the Company in the 2004 law suit and attorneys’ fees incurred in the coverage action. The settlement agreement provides for a payment of $4,700,000 to the Company by insurer within 20 days of the effective date of the agreement. In exchange, the Company released all claims against the insurer arising out of the class action litigation and the coverage litigation, and further agreed to dismiss the coverage litigation currently pending in court. In addition, the Company agreed to indemnify the insurer against any claims that may be brought against the insurer by the Company’s former corporate parent, Mestek, Inc. with respect to the claims released in the settlement agreement.
