1. Pendinas Limited, which is 100% owned by Mr G. Williams, acquired 900,000 units of Shoal Games Ltd. for CAD$0.45(approximately US$0.34) per unit in a private placement on the 16th of June 2017. Each unit consists of 1 share and 1 warrant.

2. Pendinas Limited, which is 100% owned by Mr. G. Williams, acquired 900,000 units of Shoal Games Ltd. in a private placement. Each unit consist of 1 share and 1 warrant. The exercise price of the warrants is CAD$0.55 (approximately US$0.42) per share for the first six months following closing and $0.65 (approximately US$0.49) per share for the period which is 7-12 months following closing.
