Explanation of Responses:

1. Acquisition of restricted stock units under the Amended and Restated Brookdale Senior Living Inc. 2014 Omnibus Incentive Plan pursuant to the issuer's non-employee director compensation program. Each restricted stock unit will generally be payable in the form of one share of the issuer's common stock following the reporting person's termination of service as a member of the issuer's Board of Directors.
