Item 7.01 | Regulation FD Disclosure. |
On December 17, 2019, Leidos issued a press release announcing that it had entered into a definitive agreement to acquire Dynetics, Inc., an industry-leading applied research and national security solutions company, for $1.65 billion in cash. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
Leidos announced a conference call to be held at 5:00 p.m., Eastern Time on December 17, 2019. A live audio broadcast of the conference call along with the investor presentation will be available to the public through links on the Investor Relations section of Leidos’ web site (http://investors.leidos.com). A webcast replay will also be accessible following the event. A copy of the investor presentation, which will be discussed during the conference call, is attached to this report as Exhibit 99.2 and incorporated herein by reference.
