1. Each restricted stock unit represents a contingent right to receive one share of CCXI common stock.

2. The restricted stock units awarded on May 21, 2018 vests on the first anniversary of the grant date, subject to the Reporting Person's continued employment or service relationship with the Company on such vesting date. Shares will be delivered to the Reporting Person within thirty (30) days following the vesting date.

3. The option was granted on May 21, 2018. The award vests and becomes exercisable on the first anniversary of the grant date, subject to the Reporting Person's continued employment or service relationship with the Company on such vesting date.
