Explanation of Responses:

1. Represents the forfeiture of performance-based shares of restricted stock granted to the reporting person on June 19, 2014 due to the vesting criteria not being attained.

2. Due to a scrivener's error, the Reporting Person's Table I, line 1 column 5 total in the June 30, 2016 Form 4 overstated the Reporting Person's holdings by 34,873 shares. This mistake has been corrected in the amounts indicated.
