Represents the vesting of performance-based restricted stock units in an amount in excess of the target award previously granted to the reporting person under The Sherwin-Williams Company 2006 Equity and Performance Incentive Plan for the 2015 - 2017 performance period. The target amount was previously reported on a Form 4 filed February 19, 2015.
