Bioheart, Inc. is filing this Form 12b-25 with respect to its Quarterly Report on Form 10-Q for the period ended March 31, 2011, because it needs additional time to complete the accounting work required for the financial reports to be included and the MD&A discussion based upon such financial reports, which could not be done in a timely manner without unreasonable effort or expense.
