Item 1.01 Entry into a Material Definitive Agreement
On March 3, 2010, we entered into a Sales Partner Agreement with Data Technologies t/a 2709 Innovations (“2709”). The Agreement provides that 2709 appoints Portlogic Systems Inc. (“Portlogic”) as its exclusive Sales Partner for the purpose of identifying and pursuing customers in its capacity as a reseller of all of 2709’s software and solutions products, in the defined territories of North America and the Caribbean. The initial Term of this Agreement will commence on March 1, 2010 and continue for a period of twelve months, ending on February 28, 2011, unless formerly terminated by either party. The Agreement may be renewed for additional one-year periods upon mutual written agreement of the parties.
The Sales Partner Agreement between 2709 Innovations and Portlogic Systems Inc. is filed as Exhibit 10.1 to this report, incorporated herewith.
