Explanation of Responses:

1. These shares are represented by restricted stock units ("RSUs") granted pursuant to the Issuer's Non-Employee Director Compensation Policy. Each RSU represents a contingent right to receive one share of the Issuer's Class A Common Stock. The shares underlying the RSUs will fully vest on the earlier of (i) May 31, 2023 and (ii) the day immediately prior to the Issuer's next annual meeting of stockholders following the grant date, subject to the Reporting Person's continuous service with the Issuer as of such vesting date.
