    INTRODUCTORY NOTE

On February 6, 2025, we entered into an Agreement and Plan of Merger (the “Merger Agreement”), with Globus Medical, Inc., a Delaware corporation (“Globus Medical”), and Palmer Merger Sub, Inc., a Delaware corporation and a direct wholly owned subsidiary of Globus Medical (“Merger Sub”), pursuant to which, and on the terms and subject to the conditions thereof, at the effective time of the Merger (the “Effective Time”), Merger Sub will merge with and into Nevro Corp. Under the terms of the Merger Agreement, among other things, Globus Medical will acquire all shares of Nevro for $5.85 per share in cash. The transaction represents a total equity value of approximately $250.0 million. The boards of directors of both companies have approved the transaction. This transaction is expected to close in the second quarter of 2025, subject to Nevro stockholder approval, regulatory approvals and other customary closing conditions.

The foregoing description of the Merger Agreement and the transactions contemplated thereunder is not complete and is qualified in its entirety by reference to the Merger Agreement, a copy of which has been filed as an exhibit to the Current Report on Form 8-K, filed with the SEC on February 6, 2025.
