Explanation of Responses:

1. Each restricted stock unit ("RSU") is equivalent to one share of common stock upon vesting.

2. The RSUs become vested in three equal installments on February 6, 2020, February 6, 2021 and February 6, 2022, subject to the Reporting Person continuing to be employed by or providing services as a Director to the Registrant through each such date. Vested shares will be delivered to the Reporting Person within 30 days following the applicable vest date.

3. Not applicable.

4. These options will vest and become exercisable in three equal installments on February 6, 2020, February 6, 2021 and February 6, 2022, subject to the Reporting person continuing to be employed by or providing services as a Director to the Registrant through each such date.
