1. Represents shares withheld by Norwegian Cruise Line Holdings Ltd. ("NCLH") to satisfy tax withholding obligations in connection with the vesting of 10,841 performance share units granted to the reporting person on March 1, 2019.

2. Represents shares withheld by NCLH to satisfy tax withholding obligations in connection with the vesting of 8,031 restricted share units granted to the reporting person on March 1, 2019.

3. Represents shares withheld by NCLH to satisfy tax withholding obligations in connection with the vesting of 36,965 restricted share units granted to the reporting person on March 2, 2020.
