1. On February 12, 2025, the Reporting Person purchased in a private placement, 41,666 common shares, without par value, of the Issuer, for a purchase price of $1.92 per share.

2. Shares reported reflect a 1-for-7 reverse share split effective October 11, 2023.

3. Quidnet Inc. is wholly owned by the Reporting Person. The Reporting Person disclaims beneficial ownership of these securities except to the extent of his pecuniary interest therein, and the inclusion of these shares in this report shall not be deemed an admission of beneficial ownership of all of the reported shares for purposes of Section 16 or for any other purpose.
