Explanation of Responses:

1. The reporting person is voluntarily reporting the acquisition of common stock pursuant to the Issuer's Employee Stock Purchase Plan, as amended (the "ESPP") for the period January 1, 2017 through June 30, 2017. This transaction is exempt under Rule 16(b)-3(c).

2. In accordance with the ESPP, these shares were purchased at 85% of the closing price of the Issuer's common stock on June 29, 2017.
