1. Common Shares were purchased in an unregistered private placement by the Company pursuant to a subscription agreement dated as of June 15, 2017.

2. The reported shares are owned by Crescendo Partners III, L.P. Mr. Rosenfeld is the Managing Member of Crescendo Investments III, LLC, which is the General Partner of Crescendo Partners III, L.P. Mr. Rosenfeld disclaims beneficial ownership of the reported shares, except to the extent of his pecuniary interest therein, and this report shall not be deemed an admission that Mr. Rosenfeld is the beneficial owner of these shares for purposes of Section 16 or for any other purpose.
