Explanation of Responses:

1. Reflects required termination of participation in investment fund under Occidental Petroleum Corporation (Oxy) 401(k) plan, which included the liquidation of a small residual interest in California Resources Corporation (CRC) shares previously distributed in the spin-off of CRC to holders under the plan of interests in Oxy stock.

2. Includes 250 shares acquired under CRC's Employee Stock Purchase Plan on each of September 30, 2016 and December 31, 2016, respectively.
