1. Withholding of shares to pay the tax liability associated with vesting of restricted shares.

2. Grant of restricted shares under the OraSure Technologies, Inc. Stock Award Plan, with one-third of the grant vesting on February 1, 2019, February 1, 2020, and February 1, 2021. Vesting shall cease upon voluntary termination of employment.
