Item 1.02. Termination of a Material Definitive Agreement.
As previously disclosed, on May 24, 2022, Augmedix, Inc., a Delaware corporation (the “Company”), entered into an Open Market Sale AgreementSM (the “Sales Agreement”) with Jefferies LLC (the “Agent”), pursuant to which the Company could offer and sell, from time to time, shares of its common stock, par value $0.0001, having an aggregate offering price of up to $25.0 million, through the Agent as its sales agent.
On December 20, 2022, the Company delivered written notice to the Agent to terminate the Sales Agreement, effective as of December 20, 2022. The Company is not subject to any termination penalties related to the termination of the Sales Agreement. The Company has not sold any shares of common stock under the Sales Agreement.
