(1) | This Registration Statement covers the number of shares of Marvell Technology, Inc., a Delaware corporation (the “Company” or the “Registrant”), common shares, par value $0.002 per share (the “Common Shares”), stated above, that may be delivered in settlement of options and restricted stock units assumed in connection with the acquisition by the Company of Innovium, Inc. (“Innovium”) pursuant to the Agreement and Plan of Merger, dated August 2, 2021 (the “Assumed Equity Awards”). The Assumed Equity Awards are outstanding under the Innovium, Inc. Amended 2015 Stock Option and Grant Plan (the “Plan”). This Registration Statement covers, in addition to the Common Shares stated above, options and other rights to purchase or acquire the Common Shares covered by this Registration Statement. Pursuant to Rule 416 under the Securities Act of 1933, as amended (the “Securities Act”), this registration statement also covers the issuance of any additional Common Shares under the Plan to prevent dilution resulting from stock splits, stock dividends or similar transactions. |
(2) | The price per share was calculated in accordance with Securities Act Rule 457(c) and (h) for purposes of calculating the registration fee. For shares to be issued pursuant to the exercise of outstanding option awards, the maximum aggregate offering price was computed by multiplying 421,648 shares by the weighted average exercise price of the options ($8.15 per share). For shares to be issued pursuant to the vesting of outstanding restricted stock units, the maximum aggregated offering price was computed by multiplying 811,157 shares by the average of the high and low price of the Common Shares as reported on the NASDAQ Global Select Market on October 4, 2021 ($58.16 per share). Pursuant to Rule 457(p) promulgated under the Securities Act, the registration fee due is offset by the registration fee previously paid by the Registrant in connection with the registration of shares of the Company’s Common Stock on Form S-4 (File No. 333-259149), as amended, initially filed by the Registrant on August 30, 2021, with respect to which 16,978,939 shares of Company Common Stock were issued or sold. Accordingly, the fee for this Registration Statement is offset by the fee associated with unsold securities under that registration statement. |
EXPLANATORY NOTE
Marvell Technology, Inc., a Delaware corporation (the “Company,” “Marvell” or the “Registrant”) has filed this Registration Statement on Form S-8 to register 1,232,805 common shares of the Company, $0.002 par value per share (the “Common Shares”), issuable under the Innovium, Inc. Amended 2015 Stock Option and Grant Plan (the “Plan”), comprised of:
(i) | 421,648 Common Shares issuable pursuant to unexpired, outstanding and unexercised options under the Plans and |
(ii) | 811,157 Common Shares issuable pursuant to outstanding unvested restricted stock units under the Plans. |
Pursuant to the Agreement and Plan of Merger, dated as of August 2, 2021, by and among, Innovium, Inc., the Company, one of the Company’s wholly owned subsidiaries and Shareholder Representative Services LLC (the “Merger Agreement”), pursuant to which on October, 5 2021 (the “Effective Date”), Innovium became a wholly owned subsidiary of the Company.
In accordance with the Merger Agreement, as of the Effective Date, certain outstanding options to purchase shares of Innovium common stock and certain restricted stock units with respect to Innovium common stock, each granted under the Plan, will be assumed by the Company and converted into options to purchase Common Shares and restricted stock units with respect to Common Shares, respectively.

The indemnity may include expenses (including attorneys’ fees), judgments, fines and amounts paid in settlement actually and reasonably incurred by such person in connection with such action, suit or proceeding; provided that such person acted in good faith and in a manner such person reasonably believed to be in or not opposed to the best interests of the corporation, and, with respect to any criminal action or proceeding, had no reasonable cause to believe such person’s conduct was unlawful. The Registrant’s Amended and Restated Certificate of Incorporation and Amended and Restated Bylaws contain provisions that provide for the indemnification of officers and directors to the fullest extent as is permitted by the laws of the State of Delaware, as may be amended from time to time.
As permitted by Section 102(b)(7) of the DGCL, the Registrant’s Amended and Restated Certificate of Incorporation contains a provision eliminating the personal liability of its directors to the Registrant or its stockholders for monetary damages for breach of fiduciary duty as a director to the fullest extent permitted by the DGCL, as may be amended from time to time.
