1. Each restricted stock unit represents a contingent right to receive one share of Coterra Common Stock.

2. Represents shares of common stock withheld by the issuer to satisfy the reporting person's tax obligations relating to the vesting of an award of restricted stock units, not a sale transaction by the reporting person.

3. The price reported is a weighted average price. This transaction was executed in multiple trades at prices ranging from $26.15 to $26.18. The reporting person undertakes to provide upon request to the SEC staff, the issuer or a security holder of the issuer full information regarding the number of shares and prices at which the transaction was effected.

4. On December 13, 2021, the reporting person was granted restricted stock units that vested on November 29, 2024.
