Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On March 21, 2006, Hans W. Becherer and Lawrence A. Bossidy decided to retire as directors of JPMorgan Chase & Co. when their terms expire on May 15, 2006. Mr. Becherer, Retired Chairman and Chief Executive Officer of Deere & Company, and Mr. Bossidy, Retired Chairman of Honeywell International Inc., served as directors of JPMorgan Chase & Co. and its predecessors since 1998.
