Explanation of Responses:

1. These common stock units were acquired upon Mr. Keller's election to defer a portion of his cash award received under the Company's annual incentive plan. Mr. Keller is vested immediately in 294.17 of these common stock units but will not be vested in the remaining 73.54 common stock units attributable to the incentive feature of the plan until he attains age 55, dies or becomes disabled while employed by the Company.
