Shares acquired pursuant to an Equity Exchange Agreement dated June 27, 2025 (the "Exchange Agreement"), between the Issuer and the Reporting Person, in exchange for equity interests in a subsidiary of the Issuer held by the Reporting Person. The price ($1.03831) represents the 30-day volume-weighted average price per share of the Issuer's common stock on the date of the Exchange Agreement.
