1. Grant of shares of restricted stock under the Federal Agricultural Mortgage Corporation's ("Farmer Mac") Amended and Restated 2008 Omnibus Incentive Plan for no consideration. All the shares of restricted stock will vest on March 31, 2020 if the reporting person remains a director of Farmer Mac on that date.
