Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers
On February 22, 2006, John Watt, President of Tengtu International Corp. (the “Company”), was terminated for cause. The termination occurred following discovery pursuant to the Company’s internal controls of an apparent improper disposition of Company funds.
The Company has not appointed any person to fill the vacancy created by Mr. Watts’ termination.
