Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or
Standard; Transfer of Listing.
On April 13, 2007, the New York Stock Exchange (the "NYSE") filed a Form 25
with the Securities and Exchange Commission (the "SEC"), notifying the SEC of
its intention to remove the entire class of Class A Convertible Common Stock of
American Italian Pasta Company (the "Company") from listing and registration on
the NYSE at the opening of business on April 23, 2007. The NYSE made this
determination in accordance with the NYSE Rule 802.01E due to the Company's
failure to file its September 30, 2005 Form 10-K within the maximum time periods
allowed by the NYSE rules.
