Item 8.01 Other Events.
On March 14, 2022, The Hartford Financial Services Group, Inc. (the "Company") provided notice to the holders of its 7.875% Fixed-to-Floating Rate Junior Subordinated Debentures due April 15, 2042 (CUSIP No. 416518504) (the "Debentures") that the Company will redeem the $600,000,000 aggregate principal amount of the Debentures on April 15, 2022 (the “Redemption Date”) pursuant to the terms of the Junior Subordinated Indenture dated as of June 6, 2008, as supplemented by the Third Supplemental Indenture dated as of April 5, 2012, in each case between the Company and The Bank of New York Mellon Trust Company, N.A. (formerly known as The Bank of New York Trust Company, N.A.), as trustee. The Debentures will be redeemed at a redemption price equal to 100% of the principal amount of the Debentures plus accrued and unpaid interest up to, but excluding, the Redemption Date.
