Explanation of Responses:

1. The shares reported are subject to time-based vesting conditions and will vest 100% on June 7, 2020, predicated upon the Reporting Person's continued service as a non-employee member of the Issuer's Board of Directors through the vesting date.

2. The price reported in column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $114.09 to $114.68, inclusive. The reporting person undertakes to provide to Amedisys, Inc. (the "Issuer"), any security holder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the ranges set forth in footnote (2) to this Form 4.

3. The sales reported were effected pursuant to a Rule 10b5-1 trading plan previously adopted by the reporting person.

4. The price reported in column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $115.99 to $116.93, inclusive. The reporting person undertakes to provide to the Issuer, any security holder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the ranges set forth in footnote (4) to this Form 4.

5. The price reported in column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $116.99 to $117.63, inclusive.
